Terms of Service

1. Agreement to Terms
By accessing or using Clear Slate ("Service"), operated by Clear Slate, LLC ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.
You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.
2. Description of Service
Clear Slate is an AI-powered support ticket management platform that integrates with Gmail to help organizations manage customer support efficiently. The Service includes:
- Email-to-ticket conversion via Gmail integration
- AI-powered response suggestions and ticket categorization
- Team collaboration and ticket assignment features
- Customer satisfaction tracking and analytics
- Response template management
- Multi-user organization management
3. Account Terms
3.1 Account Creation
To use the Service, you must create an account using Google OAuth authentication. You are responsible for maintaining the security of your account and are fully responsible for all activities that occur under your account.
3.2 Organization Accounts
Organizations must be registered with a valid Google Workspace domain. The initial registrant becomes the organization administrator and can invite additional users. Administrators are responsible for managing user access and ensuring compliance with these Terms.
3.3 Accurate Information
You must provide accurate, current, and complete information during registration and maintain the accuracy of such information. Providing false information may result in immediate termination of your account.
4. Subscription Plans and Billing
4.1 Subscription Tiers
- Free Tier: Up to 2 users, limited AI credits (1000/month)
- Starter Tier: Up to 5 users, 5000 AI credits/month, priority support
- Team Tier: Up to 15 users, unlimited AI credits, custom integrations
- Enterprise: Custom pricing and features, dedicated support
4.2 Payment Terms
Paid subscriptions are billed monthly in advance. All payments are processed through Stripe. By providing payment information, you authorize us to charge the applicable fees for your chosen plan.
4.3 Refunds
Subscription fees are non-refundable, except as required by law. No refunds will be issued for partial months of service, upgrade/downgrade adjustments, or unused AI credits.
4.4 Plan Changes
You may upgrade or downgrade your plan at any time. Changes take effect at the next billing cycle. Downgrading may result in loss of features or data if you exceed the lower plan's limits.
5. Acceptable Use Policy
You agree not to use the Service to:
- Violate any laws, regulations, or third-party rights
- Transmit spam, malware, or any malicious code
- Attempt to gain unauthorized access to any portion of the Service
- Interfere with or disrupt the Service or servers
- Reverse engineer or attempt to extract the source code
- Use the Service for competitive analysis or building a competing product
- Exceed your plan's AI credit limits through automated means
- Share your account credentials with unauthorized users
- Use the Service for any illegal or unauthorized purpose
6. AI Services and Data Processing
6.1 AI Integration
The Service uses OpenAI's API for AI-powered features. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and verifying all AI-generated content before use.
6.2 Data Processing
By using AI features, you consent to your data being processed by third-party AI providers. We implement appropriate safeguards but cannot guarantee the complete accuracy or appropriateness of AI outputs.
6.3 Usage Limits
AI features are subject to usage limits based on your subscription plan. Exceeding these limits may result in reduced functionality or additional charges.
7. Intellectual Property Rights
7.1 Service Content
The Service and its original content, features, and functionality are owned by Clear Slate, Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
7.2 User Content
You retain ownership of content you create using the Service. By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your content solely for the purpose of providing the Service.
7.3 Feedback
Any feedback, suggestions, or ideas you provide about the Service may be used by us without any obligation to compensate you or maintain confidentiality.
8. Privacy and Data Protection
8.1 Privacy Policy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.
8.2 Data Security
We implement industry-standard security measures to protect your data. However, no method of transmission over the Internet is 100% secure, and we cannot guarantee absolute security.
8.3 Data Retention
We retain your data for as long as your account is active. Upon account termination, we will retain your data for 30 days before permanent deletion, unless required by law to retain it longer.
8.4 GDPR Compliance
For users in the European Economic Area, we comply with GDPR requirements including data portability, right to erasure, and consent management.
9. Gmail Integration
9.1 Authorization
By connecting your Gmail account, you authorize us to access and process emails for ticket creation and management. You can revoke this access at any time through your Google account settings.
9.2 Email Processing
We only access emails you explicitly choose to convert to tickets or those matching your configured rules. We do not store email credentials or access emails for purposes other than providing the Service.
9.3 Google Terms
Your use of Gmail integration is also subject to Google's Terms of Service and Privacy Policy.
10. Service Availability and Support
10.1 Service Level
We strive for 99.9% uptime for paid plans but do not guarantee uninterrupted or error-free service. Free tier users are not entitled to any service level guarantees.
10.2 Support
Support levels vary by plan: email support for Free/Starter tiers, priority support for Team tier, and dedicated support for Enterprise customers.
10.3 Modifications
We reserve the right to modify or discontinue the Service (or any part thereof) with 30 days notice for material changes affecting paid users.
11. Limitation of Liability
11.1 Disclaimer
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
11.2 Limitation
IN NO EVENT SHALL CLEAR SLATE, INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
11.3 Maximum Liability
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
12. Indemnification
You agree to indemnify and hold harmless Clear Slate, Inc., its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses arising from your use of the Service or violation of these Terms.
13. Termination
13.1 By You
You may terminate your account at any time through your account settings. Termination does not entitle you to any refunds.
13.2 By Us
We may terminate or suspend your account immediately, without prior notice, for: violation of these Terms, non-payment of fees, fraudulent or illegal activity, or actions that harm other users or the Service.
13.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow for data export before permanent deletion.
14. Dispute Resolution
14.1 Arbitration
Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules.
14.2 Class Action Waiver
You waive any right to bring claims on a class, consolidated, or representative basis. Disputes must be brought on an individual basis only.
14.3 Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
15. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be notified via email or through the Service at least 30 days before taking effect. Your continued use after changes constitutes acceptance of the modified Terms.
16. General Provisions
16.1 Entire Agreement
These Terms constitute the entire agreement between you and Clear Slate, Inc. regarding the Service.
16.2 Severability
If any provision is found unenforceable, the remaining provisions will continue in full effect.
16.3 No Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
16.4 Assignment
You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.
